Hookbridge Terms of Service
Effective Date: February 10, 2026
These Terms of Service ("Terms") govern your access to and use of the Hookbridge platform, websites, APIs, SDKs, dashboards, and related services (collectively, the "Services"). "Hookbridge," "we," "us," and "our" refer to Lark Software LLC, doing business as Hookbridge. "You" and "Customer" refer to the individual or entity using the Services.
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and Authority
You must be at least 18 years old and have legal capacity to enter into these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. Account Registration and Security
You must provide accurate and complete information when creating an account and keep it updated. You are responsible for all activity under your account, including the actions of authorized users. You must safeguard your credentials and API keys and notify us promptly of any unauthorized access.
3. The Services
Hookbridge provides webhook delivery, retries, logging, observability, and related tooling. We may modify or discontinue features at any time. We may offer beta or experimental features "as is" without warranties and may change or remove them at any time.
4. Acceptable Use
You agree not to:
- Use the Services in violation of law or regulation.
- Transmit malware, exploit code, or other harmful content.
- Attempt to gain unauthorized access to the Services or related systems.
- Interfere with or disrupt the Services or other users.
- Use the Services to send webhooks you are not authorized to send.
- Resell or provide the Services to third parties without our written approval.
We may investigate and take action for violations, including suspension or termination.
5. Customer Data
You retain ownership of data you submit or transmit through the Services ("Customer Data"). You grant Hookbridge a limited license to process Customer Data solely to provide, operate, secure, and improve the Services and to comply with law. Our collection and use of personal information is described in our Privacy Policy.
If you are required to sign a data processing addendum, that addendum governs our processing of Customer Data as a processor.
6. Fees, Billing, and Taxes
If you purchase a paid plan, you agree to pay fees according to the pricing and terms presented at checkout or in an order form. Fees are billed in advance on a recurring basis unless otherwise specified. You authorize us to charge your payment method for recurring fees and applicable taxes.
Taxes are exclusive of fees unless stated otherwise. You are responsible for applicable taxes, duties, and similar charges.
7. Trials, Cancellations, and Refunds
Trials, if offered, will be described at signup. You may cancel at any time through your account settings. Unless otherwise required by law or explicitly stated at purchase, fees are non-refundable.
8. Service Availability
We aim to operate a reliable service but do not guarantee uninterrupted or error-free operation. Downtime, delivery failures, or delays can occur due to factors outside our control, including third-party endpoints, network conditions, or force majeure events.
9. Intellectual Property
Hookbridge and its licensors own the Services and all related intellectual property. We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Services for your internal business purposes during the subscription term.
You may not reverse engineer, decompile, or attempt to extract source code or underlying ideas except to the extent permitted by law.
10. Feedback
If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
11. Third-Party Services
The Services may integrate with third-party services. Your use of those services is subject to their terms and policies. We are not responsible for third-party services.
12. Confidentiality
Each party may receive the other's confidential information. The receiving party will use confidential information only to perform under these Terms and will protect it using reasonable care. Confidential information does not include information that is publicly available or independently developed without use of the disclosing party's confidential information.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOKBRIDGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOKBRIDGE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU TO HOOKBRIDGE FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You agree to indemnify and hold harmless Hookbridge, its affiliates, and their directors, officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your Customer Data, or your violation of these Terms.
16. Export and Sanctions Compliance
You may not use the Services in violation of applicable export control or sanctions laws.
17. Governing Law and Venue
These Terms are governed by the laws of the State of Michigan, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Michigan, and you consent to personal jurisdiction and venue in those courts.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the effective date and provide notice as required by law. Continued use of the Services after changes becomes effective constitutes acceptance of the updated Terms.
